These terms and conditions apply to all purchases of the Nichts software platform from Kailar UG (haftungsbeschränkt), Viererblock 18a, 39326 Wolmirstedt, Germany ("we", "us", "Kailar").
By purchasing Nichts, you agree to these terms. If you do not agree, do not purchase the product.
Nichts is an AI-powered server management platform sold as source code under a commercial license. The purchase includes:
Nichts requires third-party AI API keys (e.g., Anthropic Claude, OpenAI Codex) to function. These are not included and must be obtained separately at your own cost.

The price is €499 (including VAT where applicable), payable as a one-time payment. All prices are in Euros.
Payment is due at the time of purchase. Access to the source code repository is granted after successful payment.
For business customers within the EU (with valid VAT ID), reverse charge may apply.
Nichts is a digital product. Delivery happens by granting you access to the private GitHub repository containing the source code. Access is typically granted within 24 hours of purchase.
You are responsible for setting up and configuring the software on your own infrastructure. We provide documentation to assist with this.
Your purchase includes 12 months of updates from the date of purchase. During this period, you receive all new features, services, bug fixes, and improvements pushed to the repository.
After the update period ends, you retain full access to the source code as it existed at that point. The code remains yours — it simply stops receiving updates.
You may renew the update period at a discounted rate (announced separately).
As a consumer within the EU, you have a 14-day right of withdrawal from the date of purchase.
However, since Nichts is a digital product delivered via repository access, please note: once you access the repository, you expressly consent to the beginning of performance before the withdrawal period has expired, and you acknowledge the loss of your right of withdrawal in accordance with § 356(5) BGB.
If you have not accessed the repository, you may exercise your right of withdrawal by contacting us at kontakt@kailar.de within 14 days.
Nichts is provided "as is." We make no guarantees about:
We are not liable for any damages arising from the use of Nichts on your servers, including but not limited to data loss, downtime, or unintended code changes made by the AI agent.
You are solely responsible for reviewing and approving any changes Nichts makes to your infrastructure.
Statutory warranty rights (Gewährleistung) under German law remain unaffected.
Nichts integrates with third-party services including but not limited to:
Your use of these services is governed by their respective terms and privacy policies. We are not responsible for changes to, outages of, or pricing of third-party services.
The Nichts source code, documentation, and branding are the intellectual property of Kailar UG. Your license grants usage rights, not ownership of the intellectual property.
Modifications you make to your copy of the source code are your property. However, the underlying Nichts platform code remains ours.
We may revoke repository access if you violate these terms, specifically: redistribution, resale, or sharing of the source code.
In case of termination, you must delete all copies of the Nichts source code. Any modifications you built on top of Nichts that are independent works remain yours.
We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board. The EU online dispute resolution platform is available at: https://ec.europa.eu/consumers/odr/
These terms are governed by the laws of the Federal Republic of Germany. If you are a consumer within the EU, mandatory consumer protection laws of your country of residence also apply.
